This Purchase Order Agreement (this “Agreement”) governs every purchase order, signed quote, or invoice acceptance (each, an “Order”) placed with International Coolers, LLC (“International Coolers”). By signing an Order, returning a signed quote or invoice, paying any deposit, or otherwise directing International Coolers to proceed, the purchaser (“Purchaser”) agrees to this Agreement and to International Coolers’ Terms and Conditions published at internationalcoolers.com/terms-of-service (the “Terms and Conditions”), which are incorporated in full by this reference. The version of the Terms and Conditions in effect on the Order date applies to that Order.
All Orders are subject to written acceptance by International Coolers. Production begins only after International Coolers has received (a) Purchaser’s signed order acknowledgment or signed quote, (b) Purchaser’s approval of the drawings issued for the Order, and (c) the initial payment stated on the Order. Quotes are valid for seven (7) days unless stated otherwise on their face.
Payment amounts, milestones, and due dates are stated on the face of each Order and control for that Order. Unless the Order states otherwise: equipment payments are due per the Order’s schedule before production release and shipment; freight is billed separately and is due at destination at Purchaser’s expense; and installation payments (when installation is purchased) follow the installation payment terms stated on the Order, including any mobilization deposit, which becomes non-refundable once installation scheduling is confirmed. Amounts are payable without setoff, deduction, holdback, or counterclaim. Past-due amounts bear the late charges stated in the Terms and Conditions, and Purchaser is responsible for all costs of collection, including reasonable attorneys’ fees.
Delivery dates are estimates. Purchaser is responsible for receiving, including equipment and personnel to unload at the delivery site. Purchaser must inspect each shipment on arrival, note any visible damage or shortage on the delivery receipt and freight bill before signing, and report concealed damage in writing within two (2) days of delivery, all as further provided in the Terms and Conditions. Title and risk of loss pass as stated in the Terms and Conditions.
No installation, supervision, or site services are included in any Order unless expressly stated on its face. Where installation is purchased, the installation date is scheduled after the Order is placed, is at all times subject to International Coolers’ schedule, and is further governed by the installation terms on the Order, including remobilization and rescheduling fees for customer-caused delays. Site readiness — including a level slab, clear access, power, and any required permits — is Purchaser’s responsibility.
Changes to an Order require International Coolers’ written approval and may carry change fees. No Order may be cancelled without International Coolers’ written approval; approved cancellations remain subject to the cancellation charges in the Terms and Conditions, including payment for custom items purchased and work in production. If Purchaser is unable to accept delivery when goods are ready, goods may be placed in storage at Purchaser’s expense per the storage terms in the Terms and Conditions, and all storage fees must be paid before shipment or release.
International Coolers does not assume responsibility or costs for field changes, testing, listings, or certifications demanded by any authority having jurisdiction, whether arising before or after purchase. Any such costs are Purchaser’s responsibility as further provided in the Terms and Conditions, and any resulting reports, listings, or certifications are and remain the property of International Coolers.
Each Order, this Agreement, and the incorporated Terms and Conditions are the entire agreement for the purchase, and control over any conflicting term in Purchaser’s purchase order or other document, which are expressly rejected. In case of conflict, the Order’s face terms control, then this Agreement, then the Terms and Conditions. A signed facsimile, email, or electronic signature (including DocuSign) has the same force as an original.
